Data Use and Platform Acknowledgment

By accessing, uploading data to, or utilizing the services provided through this platform ("Platform"), the user acknowledges and agrees to the following:
1. De-Identified Data Requirement.
User shall only upload, transmit, or otherwise provide data that has been properly de-identified in accordance with applicable federal and state laws, including the Health Insurance Portability and Accountability Act of 1996 ("HIPAA"), as amended, and any related regulations. User represents and warrants that no Protected Health Information ("PHI") or personally identifiable patient information will be submitted to the Platform unless otherwise authorized through a separate written agreement.
2. HIPAA Compliance.
The Platform maintains administrative, technical, and physical safeguards designed to protect data and operates in accordance with applicable HIPAA security standards. While the Platform is designed to support healthcare organizations and providers, the user remains solely responsible for ensuring that all uploaded information complies with applicable privacy and security requirements.
3. Artificial Intelligence and Analytics.
User acknowledges that the Platform utilizes advanced analytics, artificial intelligence ("AI"), machine learning, benchmarking methodologies, regulatory datasets, and industry standards, including applicable Centers for Medicare & Medicaid Services ("CMS") guidelines, to generate reports, recommendations, performance metrics, operational insights, and benchmarking analyses.
4. Permitted Use of Data.
User grants the Platform a limited, non-exclusive right to process, analyze, aggregate, and utilize submitted de-identified data for the purpose of providing services, generating analytics, improving platform functionality, creating benchmarking comparisons, supporting quality improvement initiatives, and enhancing AI-driven insights. Any aggregated benchmarking data will not identify any individual patient, provider, or practice.
5. No Guarantee of Results.
The Platform provides analytical tools and recommendations intended to support operational, clinical, compliance, and financial decision-making. User acknowledges that recommendations generated through AI and analytics are advisory in nature and do not constitute legal, medical, coding, billing, reimbursement, compliance, or financial advice. The Platform does not guarantee specific financial, operational, reimbursement, or clinical outcomes.
6. User Responsibility.
User is solely responsible for reviewing, validating, and implementing any recommendations, benchmarks, reports, or analyses generated by the Platform and for ensuring compliance with all applicable laws, regulations, payer requirements, and professional standards.
By using the Platform, User affirms that it has the authority to provide the submitted data, has ensured such data is properly de-identified where required, and agrees to the terms set forth herein.
